Terms of Service

1. Acceptance of Terms

By accessing or using ClientBrief AI ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms form a binding agreement between you and Home Slice LLC ("Company," "we," "us").

2. Description of Service

ClientBrief AI is an AI-powered platform for generating proposals, executive reports, and client communications for B2B service businesses. The Service includes AI content generation, proposal tracking, e-signature collection, follow-up automation, and related features.

3. Accounts and Eligibility

  • You must be at least 18 years old to use the Service.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activity that occurs under your account.
  • Notify us immediately at hello@clientbriefai.com if you suspect unauthorized access.

4. Subscriptions and Billing

  • Free tier: 3 AI generations, no credit card required.
  • Paid plans: Starter ($99/mo), Pro ($249/mo), Agency ($599/mo), Enterprise ($1,299/mo). Annual plans receive a 20% discount.
  • Subscriptions renew automatically. You may cancel at any time from your account settings.
  • Payments are processed by Stripe. By subscribing, you authorize recurring charges to your payment method.
  • No refunds for partial billing periods unless required by applicable law.
  • We reserve the right to change pricing with 30 days' notice to active subscribers.

5. Acceptable Use

You agree NOT to:

  • Use the Service to generate spam, phishing content, or fraudulent proposals
  • Reverse-engineer, scrape, or abuse the Service's APIs
  • Resell or sublicense access to the Service without written consent
  • Upload content that violates any law or third-party rights
  • Attempt to circumvent usage limits or rate limiting
  • Impersonate another person or organization

6. AI-Generated Content

The Service uses AI (Anthropic Claude, OpenAI GPT-4) to generate content. You acknowledge:

  • AI-generated content may be inaccurate, incomplete, or unsuitable for your specific situation.
  • You are solely responsible for reviewing, editing, and approving all content before sending it to clients.
  • We do not guarantee that AI output will be legally binding, professionally appropriate, or free of errors.
  • You retain ownership of the content you input and the final output you produce.

7. Intellectual Property

You retain all rights to content you create using the Service. We retain all rights to the platform, codebase, templates, and underlying technology. The ClientBrief AI name, logo, and brand are trademarks of Home Slice LLC.

8. E-Signatures

ClientBrief AI provides an e-signature feature for convenience. While we record IP address, timestamp, and signature image, we make no representation that our e-signatures satisfy any particular legal standard (e.g., ESIGN Act, eIDAS). For legally sensitive documents, consult a qualified attorney and use a dedicated legal e-signature service.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR MEET YOUR REQUIREMENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOME SLICE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Home Slice LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, your content, or your violation of these Terms.

12. Termination

We may suspend or terminate your account at any time for violation of these Terms, illegal activity, or at our sole discretion with reasonable notice. Upon termination, your right to use the Service ceases. Data deletion follows our Privacy Policy retention schedule.

13. Governing Law

These Terms are governed by the laws of the State of West Virginia, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of West Virginia.

14. Changes to Terms

We may modify these Terms at any time. We will notify active subscribers by email at least 14 days before material changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
